Terms and Conditions (T&Cs) of Provocateur Plus
1. Scope of Application
1.1 These Terms and Conditions (T&Cs) apply to all contracts concluded between Provocateur Plus (hereinafter referred to as the "Agency") and its clients (hereinafter referred to as the "Client").
1.2 Deviating or supplementary terms and conditions of the Client will not apply unless expressly agreed to in writing by the Agency.
2. Subject of the Contract
2.1 The Agency provides services in the areas of event planning, organization, and execution.
2.2 The specific scope of services is defined in the respective offer or contract between the Agency and the Client.
3. Conclusion of the Contract
3.1 The contract between the Agency and the Client is concluded upon acceptance of a written offer or written confirmation by the Agency.
3.2 Amendments or additions to the contract must be made in writing.
4. Prices and Payment Terms
4.1 All prices are quoted net, excluding applicable VAT.
4.2 Payments are due within the agreed deadlines specified in the contract or offer. Unless otherwise agreed, invoices are payable within 14 days of issuance.
4.3 In the event of payment default, the Agency reserves the right to charge statutory default interest and suspend the provision of services.
5. Performance of Services
5.1 The Agency undertakes to perform the agreed services with the utmost care and to the best of its knowledge and ability.
5.2 Deadlines and schedules are binding only if agreed upon in writing.
5.3 Changes to the scope of services are only possible with the consent of both parties.
6. Obligations of the Client
6.1 The Client is obliged to provide all necessary information, materials, and access in a timely manner, as required for the performance of the agreed services.
6.2 If the Client fails to fulfill its obligations, it shall be liable for any resulting delays or additional costs.
7. Cancellation and Withdrawal
7.1 Cancellation Conditions:After the contract is concluded, the event (in whole or in part) may be canceled free of charge up to 6 months before the agreed event date, unless otherwise agreed. After that, cancellation fees apply:
Up to 3 months before the event: 80% of the expected revenue
Up to 1 month before the event: 100% of the expected revenueAdditionally, any claims from external suppliers or third-party companies will be invoiced to the Client.
7.2 Reduction in the Number of Participants:
For booked events where the Agency or a third party provides or reserves services for a specific agreed number of participants, the actual number of participants may not deviate by more than 20% below the number specified in the event contract, regardless of the timing of the reduction, unless otherwise agreed.
8. Liability
8.1 The Agency is liable for damages only in cases of intent or gross negligence.
8.2 The Agency assumes no liability for damages caused by third parties involved in the planning or execution of the event.
8.3 The Client is liable for damages caused by participants or guests of the event.
9. Data Protection
9.1 The Agency undertakes to use the Client's personal data solely in accordance with applicable data protection laws.

10. Final Provisions
10.1 The laws of the Federal Republic of Germany shall apply.
10.2 The place of jurisdiction is the location of the Agency's registered office, provided the Client is a merchant.
10.3 Should any provision of these T&Cs be invalid, the validity of the remaining provisions shall remain unaffected.
